Terms and Conditions
1. Acceptance of Terms
By downloading, installing, or using Menu Pal (the "App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use the App. These Terms form a legally binding agreement between you and DoWhile Global LLC ("we," "us," or "our"), the company that develops and operates Menu Pal.
If you are using the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Eligibility and Age Requirements
You must be at least 13 years old to use Menu Pal. If you are between 13 and 18 years old, you may only use the App with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf. By using the App, you represent that you meet these age requirements.
Menu Pal is not directed at children under 13, and we do not knowingly collect personal information from children under 13. If we become aware that a child under 13 has created an account, we will promptly delete that account and any associated data.
3. Your Account
To use Menu Pal, you must create an account using your email address or Apple Sign‑In. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Keeping your account information accurate and up to date
- Immediately notifying us at info@transactions.menupal.app if you suspect unauthorized access to your account
We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, with reasonable notice where practicable.
4. User-Generated Content
Your content. Menu Pal allows you to create, save, and organize recipes and menus ("User Content"). You retain ownership of all User Content you create. By using the App, you grant DoWhile Global LLC a limited, non-exclusive, royalty-free license to store, display, and transmit your User Content solely as necessary to provide the App's features to you.
Your responsibility. You are solely responsible for all User Content you create or import. By submitting User Content, you represent and warrant that:
- You own or have the necessary rights to the content
- The content does not infringe any third-party intellectual property, privacy, or other rights
- The content complies with all applicable laws
Imported content. The App allows you to save recipes from external websites and URLs for personal use. You are responsible for ensuring that your personal use of any imported content is permitted under applicable law and the terms of the source website. Menu Pal is a personal organization tool and is not intended as a platform for republishing or redistributing third-party content.
Content we may remove. We reserve the right to remove any User Content that we determine, in our sole discretion, violates these Terms or applicable law, though we are under no obligation to monitor User Content.
5. Circles and Content Sharing
Menu Pal includes a "Circles" feature that allows you to share your recipes and menus with other users you invite. By sharing content through Circles:
- You grant members of your Circle the ability to view the content you share with them
- You remain responsible for ensuring you have the right to share any content you include in a Circle
- You understand that content shared within a Circle is visible to all members of that Circle
You may leave a Circle at any time through the App settings. Circle owners may remove members or dissolve a Circle at any time. We are not responsible for how other Circle members use content you choose to share with them.
6. Menu Pal Pro — Subscriptions and Billing
Pro subscription. Menu Pal offers a paid subscription ("Menu Pal Pro") that unlocks additional features including unlimited recipes and full menu planning capabilities. Subscription pricing and available plans are displayed in the App at the time of purchase.
Billing. Subscriptions are billed through the Apple App Store on the billing cycle you select (monthly or annual). Payment is charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date.
Cancellation. You may cancel your subscription at any time through your Apple ID account settings. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods, except as required by applicable law or Apple's refund policies.
Price changes. We may change subscription pricing with reasonable advance notice. Continued use of Menu Pal Pro after a price change constitutes your acceptance of the new pricing.
Free trials. If we offer a free trial, it will convert to a paid subscription at the end of the trial period unless you cancel before the trial ends.
7. Third-Party Services
Menu Pal integrates with the following third-party services to deliver its features. Your use of Menu Pal is also subject to their respective terms and privacy policies:
- Supabase — database and authentication infrastructure that stores your account data and content
- RevenueCat — subscription and in-app purchase management
- Sentry — error monitoring and crash reporting
- Google AI — used to automatically generate recipe images
- Apple App Store — payment processing and app distribution
We are not responsible for the practices or content of these third-party services. Changes to their services may affect App functionality.
8. Intellectual Property
All software, design, trademarks, logos, and original content that make up Menu Pal are the property of DoWhile Global LLC or its licensors and are protected by applicable intellectual property law. These Terms do not grant you any rights to our intellectual property beyond the limited license to use the App as described herein.
You may not copy, modify, distribute, sell, reverse engineer, decompile, or attempt to extract the source code of the App. You may not use our trademarks or branding without our prior written consent.
9. Prohibited Conduct
You agree not to use Menu Pal to:
- Violate any applicable law or regulation
- Infringe the intellectual property or privacy rights of any third party
- Upload or share content that is unlawful, harmful, defamatory, or obscene
- Attempt to gain unauthorized access to any part of the App or its infrastructure
- Interfere with or disrupt the App or its servers
- Use automated tools, bots, or scrapers to access the App
- Misrepresent your identity or affiliation
10. Account Deletion and Data Retention
You may delete your account at any time from within the App (Account Settings → Delete Account). Upon deletion:
- Your profile and all associated recipes, menus, and lists will be permanently deleted
- You will be removed from any Circles you belong to
- Content you previously shared with Circle members may remain visible to those members until they delete it
We may retain certain data for a limited period after deletion as required by law or for legitimate business purposes such as fraud prevention, after which it will be permanently deleted in accordance with our Privacy Policy.
11. Disclaimer of Warranties
Menu Pal is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components.
Recipe information, ingredient data, and nutritional content available through the App are provided for personal convenience only. We make no representations about the accuracy, completeness, or suitability of this information. Always exercise your own judgment when preparing food, particularly regarding allergens and dietary needs.
12. Limitation of Liability
To the fullest extent permitted by applicable law, DoWhile Global LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or loss of goodwill, arising out of or in connection with your use of Menu Pal.
Our total liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid to us in the twelve months prior to the claim or (b) $10 USD.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
13. Indemnification
You agree to indemnify, defend, and hold harmless DoWhile Global LLC and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the App; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
14. Device, Connectivity, and Security
You are responsible for maintaining a compatible device and internet connection to use the App. We are not responsible for any charges incurred from your carrier, including data roaming fees. We strongly advise against using the App on jailbroken or rooted devices, as this may compromise the security of your data and reduce App functionality.
15. Modifications to the App and Terms
App changes. We reserve the right to modify, suspend, or discontinue any part of Menu Pal at any time, with or without notice. We are not liable to you for any such modification, suspension, or discontinuation.
Terms changes. We may update these Terms from time to time. When we make material changes, we will notify you through the App or by email. Your continued use of Menu Pal after the effective date of any changes constitutes your acceptance of the updated Terms. We encourage you to review this page periodically.
16. Termination
We may suspend or terminate your access to Menu Pal at any time for violation of these Terms or for any other reason at our discretion. You may terminate your use of the App at any time by deleting your account and uninstalling the App. Upon termination, all rights granted to you under these Terms will immediately cease.
Sections that by their nature should survive termination — including but not limited to intellectual property, disclaimers, limitation of liability, and indemnification — shall survive.
17. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or your use of Menu Pal shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to personal jurisdiction in those courts.
Before filing any formal legal claim, you agree to contact us at info@transactions.menupal.app and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receipt.
18. Apple App Store Additional Terms
The following additional terms apply to the extent you access Menu Pal through the Apple App Store:
- These Terms are between you and DoWhile Global LLC only, not with Apple Inc. Apple has no obligation to provide maintenance or support for Menu Pal.
- In the event of any failure by Menu Pal to conform to applicable warranties, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by law, Apple has no other warranty obligation.
- Apple is not responsible for addressing any claims by you or a third party relating to the App, including product liability claims, consumer protection claims, or intellectual property infringement claims.
- Apple and its subsidiaries are third-party beneficiaries of these Terms, and Apple has the right to enforce these Terms against you as a third-party beneficiary.
19. General Provisions
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and DoWhile Global LLC regarding Menu Pal and supersede all prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future.
Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
